Cancellation Charges Empty Cancellation Charges

My developer plans to charge me a fee to cancel my contract, as I am selling my property before the deeds are obtained.
Not only is the developer panning to charge me 2% of the selling price but he is adding VAT to this amount. Is the cancellation charge legal and if so is it subjet to VAT?
